Pro Agreement
Version 7 · Effective 2026-11-02
You run your own independent business. You are fully responsible for your work, including any damage, injury or legal issue, and you agree to protect Rodenzo Technologies LLC from claims related to your services.
1. About this agreement
This Pro Agreement ("Agreement") is between you (the "Pro"), an independent provider of mobile vehicle services, and Rodenzo Technologies LLC ("Rodenzo", "we", "us") and applies when you list a business on the Platform. It is in addition to the Rodenzo Terms of Service, which also apply to you. If they conflict, this Agreement controls for your activities as a Pro.
2. You are an independent business
You are an independent business owner, not an employee, agent, joint venturer or partner of Rodenzo Technologies LLC. Nothing in this Agreement creates an employment relationship. You are not entitled to wages, benefits, workers' compensation, unemployment insurance or reimbursement from us.
You alone decide whether and when to work, which bookings to accept, your service area, your services, your prices, your methods, products and equipment, and whether to hire helpers. You may work for other platforms and your own clients. We do not train, supervise or control your work.
You are responsible for all costs of your business, including equipment, supplies, vehicle, fuel, phone and insurance.
3. Your responsibility for your work
YOU ARE SOLELY RESPONSIBLE FOR THE SERVICES YOU PERFORM AND FOR ANY DAMAGE, LOSS, INJURY OR DEATH CAUSED BY YOU, YOUR HELPERS, YOUR PRODUCTS OR YOUR EQUIPMENT, including damage to customer vehicles, property at the service location, and third parties.
You agree to resolve any customer complaint, damage claim or dispute directly with the customer, at your own cost, promptly and in good faith. We have no obligation to pay for, repair or compensate any damage or loss.
Insurance: Rodenzo does not provide any insurance to you or to customers. We strongly recommend that you carry general liability insurance and any coverage your services call for (such as garage keepers coverage for vehicles in your care). If you upload an insurance certificate, you confirm it is genuine and current and you will tell us immediately if it is cancelled or expires.
4. Laws, licenses, permits and taxes
You are responsible for complying with all laws that apply to your business and the services you offer, including business licenses, permits and any trade licenses or registrations your services require (for example, for vehicle repair or towing); environmental, stormwater and runoff rules (for example, California and city rules that prohibit wash water entering storm drains); water-use restrictions; chemical, fluid and waste handling and disposal; consumer protection; privacy; and employment laws for anyone who works with you.
Window tint and film: if you offer window tint, you must follow California Vehicle Code section 26708 and related rules. Do not apply film to the windshield except a strip along the top edge allowed by law, apply to the front side windows only film the law allows, and give the customer the signed certificate the law requires for film on the front side windows. Never tint, film or cover headlights, taillights, brake lights, turn signals or reflectors.
You are responsible for all taxes on your income and services, including sales tax where applicable. Our payment provider may issue you tax forms (such as Form 1099-K).
5. Your profile and verification
Everything in your profile must be accurate and kept up to date, including your services, prices, service times, photos (which must be of your own work and which you have the right to use), and service area. After your profile is approved, your business name can be changed only by our team.
Your profile (including your business name, description, services, add-ons, review replies and photos) must not include phone numbers, email addresses, websites, social media handles, QR codes or any other way to contact you outside the Platform; customers contact you through the app. We check profile text automatically, our team reviews every new photo before customers can see it, and we may refuse or remove content that includes contact details.
You must complete an identity check through Stripe Identity (a photo of your government ID and a selfie), which is handled by Stripe under its own terms and privacy policy; we receive the result, not the images. You may also upload insurance and license documents, which you confirm are genuine, current and yours. False information or documents will result in permanent removal and may be reported to authorities.
We may approve, reject, pause or remove any profile, including based on customer reports, ratings, cancellations, no-shows or safety concerns. Before pausing a profile for repeated no-shows, a member of our team reviews it, and you may explain what happened.
6. Bookings and conduct
You decide which requests to accept. Every request needs your acceptance, including "Available now" requests: you have 5 minutes to answer an "Available now" request, 30 minutes for a request for later the same day, and 60 minutes for a request for another day; if you don't answer in time, the request expires. You may accept or decline a request, or suggest up to three other times at the same price. When a booking is confirmed, you agree to arrive on time, perform the services as described at the agreed price, and treat customers and their property with care and respect.
Price changes: if the vehicle's size or condition differs from what was booked, or the customer asks for extra work, you may request a price change in the app after you arrive, with a reason (and a photo where it helps). The new price applies only if the customer approves it in the app; if they decline, the original price stays. Don't ask for or accept price changes outside the app.
You agree to take before and after photos in the app when requested, and not to discriminate against anyone on the basis of race, color, religion, national origin, sex, gender identity, sexual orientation, disability, age or any other protected characteristic.
You choose your own cancellation policy (Flexible, Standard or Strict) within the options the app offers; it is shown to customers before they book, and cancellation fees under it are paid to you.
7. Staying reachable
You agree to keep a working U.S. mobile number on your account and to respond promptly to calls and texts from Rodenzo or its support team about your bookings, customers, payments and safety, including urgent situations during a job. Your number is never shown to customers.
The calls and text messages section of the Terms of Service applies to you, including how to opt out of texts. Because Pros take bookings from customers, opting out of texts does not stop us from contacting you by phone, email or in-app notification about active bookings or safety.
8. Available now and location
"Available now" is optional. While it is on, customers near you can see your approximate area (about 1 km, never your exact location) and send you requests that start right away. You must accept each one within 5 minutes, or it expires; turn it on only when you are ready to take a job and turn it off when you are not.
While "Available now" is on, the app collects your device location, including in the background if you allow it, to show your approximate area and offer instant bookings. It stops when you turn "Available now" off, when you start a job, or after 12 hours. When you check in at a job ("I've arrived"), your location at that moment is saved with the booking record. You can turn off location permissions at any time in your device settings.
9. Fees and payments
Listing is free. We charge a platform fee only on completed bookings: 15% of the service price on your first completed booking with a customer who found you through the Platform (up to $35), and 5% on later bookings with that customer. There is no platform fee on customers who come through your own booking link or QR code, on tips, or on cancellation fees. The fees that apply to a booking are shown in the app.
Founding Pros: if you are offered a Founding Pro place (limited places), you pay no platform fee for 60 days starting from your first completed booking, then 10% (up to $30) on your first completed booking with a customer who found you through the Platform and 5% on later bookings with that customer for the following 12 months, and the standard fees after that. Other promotions apply only as described in the app when offered.
Customers also pay a booking fee that goes to us, not to you (currently 5% of the services, at least $2.99 and at most $14.99). Customers who book through your own booking link or QR code pay no booking fee until May 1, 2027; after that date the normal customer booking fee applies to them. You still pay no platform fee on those customers.
Tips are 100% yours, and we take no fee on tips. Stripe's standard card processing fee (currently about 2.9% + 30¢ per payment) applies to each card payment and is deducted from what you receive, including on the part of the payment that is a tip and on the customer booking fee. The Earnings screen shows an estimate; Stripe shows the exact amount.
Payouts are made by our payment provider (Stripe) under its terms, which you must accept. Payouts are usually sent 1-2 business days after the job is charged, once Stripe has verified your account; new accounts, bank holidays and Stripe reviews can take longer. We may hold, offset or reverse payouts for refunds, chargebacks, fraud or amounts you owe us.
Non-circumvention: for a customer who first found you through the Platform, you agree not to ask or encourage them to cancel a booking or pay you outside the app in order to avoid fees.
10. Release, indemnity and limitation of liability
TO THE EXTENT PERMITTED BY LAW, YOU RELEASE RODENZO TECHNOLOGIES LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS FROM CLAIMS ARISING OUT OF YOUR SERVICES OR YOUR DEALINGS WITH CUSTOMERS, AND YOU WAIVE CALIFORNIA CIVIL CODE §1542 FOR THOSE CLAIMS AS DESCRIBED IN THE TERMS OF SERVICE. THIS RELEASE DOES NOT APPLY TO CLAIMS BASED ON OUR OWN FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, TO PERSONAL INJURY OR DEATH CAUSED BY US OR OUR EMPLOYEES, TO OUR VIOLATION OF LAW, TO AMOUNTS WE OWE YOU, OR TO ANY RIGHT THAT CANNOT BE WAIVED BY LAW.
To the extent permitted by law, you agree to defend, indemnify and hold harmless Rodenzo Technologies LLC and its owners, officers, employees, contractors and agents from claims by third parties, and related losses, damages, fines, penalties, liabilities, costs and expenses (including reasonable attorneys' fees), to the extent they arise out of: your services; any damage, injury or loss caused by you, your helpers, products or equipment; your breach of this Agreement or the Terms; your violation of any law (including tax, licensing and environmental laws); or content you post. This does not apply to the extent a claim is caused by our own negligence or misconduct.
The disclaimers and limitations of liability in the Terms of Service apply to you, with the same exceptions, except that our total liability to you is limited to the greater of the platform fees you paid us in the 12 months before the claim or $100. This limit does not apply to payouts we owe you for completed bookings.
11. Ending this agreement
You may stop using the Platform and close your profile at any time. We may end this Agreement or pause your profile at any time. You remain responsible for bookings you accepted and for any obligations that arose before it ended.
12. Dispute resolution: binding arbitration and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except as stated below, you and Rodenzo Technologies LLC agree that any dispute, claim or controversy arising out of or relating to these terms, the Rodenzo platform, any booking, or any service performed by a Pro ("Dispute") will be resolved by final and binding individual arbitration, and not in court. You can opt out (see "Opt-out" below).
Try to resolve it first. Before starting arbitration or a small claims case, the person bringing the claim must send a written notice describing the claim and the relief requested (to us at support@rodenzo.com, or to you at the email on your account), and both sides will try in good faith to resolve it for 30 days. Time limits for bringing the claim are paused during those 30 days.
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or for Pros acting as businesses, its Commercial Arbitration Rules, as modified by this section. Hearings may be held by video or phone, or in the county where you live. Fees are paid as those rules provide; for a consumer claim we will pay any filing, administration and arbitrator fees that the rules do not require you to pay. The arbitrator decides questions about the scope and enforceability of this arbitration agreement, except that a court decides questions about the class action waiver, public injunctive relief, representative claims and the mass arbitration procedure below.
Small claims option: instead of arbitration, either of us may bring an individual claim in small claims court if it qualifies, and may keep it there as long as it stays an individual small claims case. Either of us may also ask a court to stop infringement or misuse of intellectual property.
CLASS ACTION WAIVER: To the extent permitted by law, you and we may bring claims against each other only in an individual capacity and not as a plaintiff or class member in any purported class, collective or consolidated proceeding. Except as provided in the mass arbitration procedure below, the arbitrator may not consolidate claims or award relief on a class basis.
Public injunctive relief and representative claims: nothing in this section waives your right to seek public injunctive relief (an order that mainly benefits the general public) where the law gives you that right. Any claim for public injunctive relief will be decided by a court, after any individual claims have been arbitrated, and the court case will be paused until then. If you are a Pro and a claim is brought under the California Private Attorneys General Act (PAGA), your individual PAGA claim is arbitrated, and any representative part that cannot lawfully be arbitrated is decided in court and paused until the arbitration ends.
Mass arbitration: if 25 or more similar demands for arbitration are filed against us, or by us, by the same or coordinated lawyers or organizations, they will be handled in batches. First, up to 10 demands (half chosen by each side) are arbitrated as test cases ("bellwether" cases), while the others are paused and no fees are due on them. After the test cases are decided, both sides will mediate the remaining demands in good faith for at least 60 days. If they are not resolved, the remaining demands are arbitrated in batches of up to 50, with one arbitrator per batch where the rules allow. Time limits for paused claims are paused too. A court may enforce this procedure.
Opt-out: you may opt out of this arbitration agreement within 30 days after you first accept these terms, by emailing support@rodenzo.com or writing to Support in the app, or by mail to Rodenzo Technologies LLC, 1015 Wall St, Ste 111, Los Angeles, CA 90015. Include your name, the email or phone number on your account, and a statement that you opt out of arbitration. Opting out does not affect any other part of these terms, and you will not be treated differently for doing so.
If any part of this section is found unenforceable for a particular claim, that part is severed for that claim only, the claim (or the affected part of it) is decided in court, and the rest of this section still applies. If the class action waiver is found unenforceable for a claim, that claim must be decided in court and not in a class arbitration.
13. General
Governing law. These Agreement are governed by the laws of the State of California, without regard to conflict-of-law rules, and by the Federal Arbitration Act. Subject to the arbitration section, the state and federal courts in Los Angeles County, California have exclusive jurisdiction.
Changes. We may update these Agreement. If changes are material we will notify you in the app or by email and ask you to accept the new version. Continuing to use Rodenzo after the effective date means you accept the changes.
Termination. We may suspend or close any account at any time, with or without notice, including for suspected fraud, safety concerns, complaints, or breach of these Agreement. Sections that by their nature should survive (including releases, disclaimers, limitations of liability, indemnities and dispute resolution) survive termination.
Entire agreement; severability; no waiver. These Agreement, together with the documents they reference, are the entire agreement between you and Rodenzo Technologies LLC about their subject. If any provision is unenforceable, the rest remains in effect and the unenforceable provision is enforced to the maximum extent allowed. Our failure to enforce a provision is not a waiver.
Assignment. You may not assign these Agreement without our written consent. We may assign them, for example in a merger or sale of the business.
